Senior Director (Associate General Counsel)

Role Overview

Join GitLab as a Senior Director (Associate General Counsel) to lead the corporate and compliance legal function at a senior leadership level. You will partner with executives and the board on matters including corporate governance, securities, equity, compliance/ethics, and M&A.

Key Missions

• Define and execute the long-term strategy for GitLab’s corporate & compliance legal function, aligned with public company obligations, governance standards, and growth.
• Build, lead, and develop a high-performing team of corporate attorneys and paralegals, with a focus on an async-first operating model.
• Own SEC reporting and disclosure obligations, partnering with Finance, Accounting, and external auditors on legal issues tied to accounting treatment and public disclosure.

What You’ll Bring

• In-house public company legal leadership experience and a strong understanding of what effective governance looks like at scale.
• Experience advising executives and the board on corporate governance, securities, equity compensation, and M&A.
• Strong working knowledge of the ’33 Act and ’34 Act, with demonstrated experience managing SEC reporting and disclosure.
• Proven ability to partner cross-functionally (e.g., Finance, Stock Administration, Accounting, People, Marketing) while weighing non-legal variables such as culture, brand, communications, government relations, tax, and insurance.
• 8+ years combined law firm and in-house experience, including substantial tenure leading corporate legal matters at a multinational publicly traded technology company.
• J.D. (or equivalent U.S. law degree) and bar admission in good standing in at least one U.S. state.
• Sound business judgment, proactive execution, executive communication skills, and ability to lead in a fully remote, asynchronous environment.
