Senior Corporate Counsel

About the role

Join Solace, a fast-scaling company, as a Senior Corporate Counsel. In this role, you will be the go-to lawyer for financing and strategic transactions, M&A, and corporate governance. You will work closely with Corporate Development, Finance, and Compliance, and help prepare the company for an IPO. The ideal candidate will have 3-9+ years of corporate, transactional, and securities law experience, with in-house experience strongly preferred. Key missions: Facilitate financing and strategic transactions, including equity and debt raises, credit facilities, and other capital markets activity, from structuring through close.. Counsel on M&A and strategic transactions, from diligence through execution and integration, including drafting and negotiating LOIs, NDAs, purchase agreements, and ancillary closing documents.. Help build the governance and compliance infrastructure to support public company readiness, including overseeing entity management across the corporate structure. Profile: - Excellent negotiation, drafting, and project management skills, with the ability to run complex, cross-functional transactions on tight timelines - Experience with financing transactions, M&A, and corporate governance, with in-house experience strongly preferred - IPO readiness background, with public company and SEC reporting experience a plus, not a requirement - Healthcare, marketplace, or other regulated-industry experience is helpful but not required - 3-9+ years of corporate, transactional, and securities law experience; we care more about what you've actually done than the number on your resume - Strong instincts on risk versus velocity, and the judgment to know what needs to be escalated to leadership - JD from an accredited law school and active bar membership in good standing
