Role Overview

Senior Corporate Counsel, Commercial (U.S.-based)

Provide strategic legal guidance for complex technology and commercial transactions in a fast-paced environment. Partner with commercial, compliance, product, and leadership teams to structure agreements, manage risk, and enable growth through practical legal solutions.

Responsibilities

  • Lead legal support for commercial activities by managing complex agreements and ensuring initiatives move forward with appropriate risk controls.
  • Draft, review, negotiate, and structure a wide range of agreements, including:
    • SaaS agreements
    • Strategic partnerships
    • Licensing agreements
    • NDAs
    • Consulting and service agreements
    • OEM and reseller agreements
    • Data use agreements
    • MSAs and SOWs
  • Support vendor/supplier contracting (service, development, subscription, and consulting arrangements).
  • Independently manage a high volume of transactions end-to-end.
  • Develop and maintain contract templates, playbooks, and standard agreements.
  • Identify legal, regulatory, and business risks and provide practical recommendations.
  • Advise on technology development, software integrations, intellectual property, data licensing, and strategic partnerships.
  • Produce executive-ready legal analyses, risk assessments, and recommendations.
  • Support mergers and acquisitions and other corporate transactions as needed.
  • Collaborate with legal and compliance teams on special projects and strategic initiatives.

Requirements

  • Juris Doctor (JD) from an accredited law school.
  • Active license and good standing to practice in at least one U.S. state.
  • 5+ years of experience in a leading law firm and/or sophisticated in-house commercial legal environment.
  • Experience combining law firm and in-house exposure is preferred.
  • Strong background advising on technology services agreements and commercial contracts.
  • Ability to independently draft and negotiate complex agreements with limited supervision.
  • Strong legal risk assessment skills and ability to deliver business-oriented advice.
  • Excellent communication, organization, and prioritization; ability to manage multiple projects.
  • Ability to work effectively with cross-functional teams and senior stakeholders.
