Senior Commercial Counsel

Role Overview

Join Rescale as Senior Commercial Counsel, acting as the primary legal point of contact for the GTM team. You will independently lead priority commercial deals, build scalable contracting infrastructure, and help design AI/automation workflows for contract intake, review, and drafting.

Key Missions / Responsibilities

• Negotiate and finalize commercial contracts, including:
  • Customer agreements
  • DPAs
  • Order forms
  • Partner and reseller agreements
  • Vendor contracts
  • NDAs
• Establish and maintain scalable legal infrastructure, such as:
  • Playbooks and templates
  • Contract automation
  • AI-assisted review and drafting
• Enable GTM and cross-functional teams by training and equipping them so business operations incorporate sound legal judgment.

Profile / Requirements

• Builder mindset: willingness to experiment and help build an AI-native legal team
• Proven ability to run commercial transactions independently and reach signature without hand-holding
• 5+ years of commercial transactional experience (in-house or law firm), with substantial depth in SaaS and technology agreements
  • Time inside a software/technology company is a plus
• Excellent communication skills (clear written/verbal communication; translate legal issues into actionable business terms)
• Strong legal operations instincts (process, templates, automation; building or improving contracting processes)
• Business judgment (redline pragmatically; frame risk in business terms)
• Privacy fluency in commercial contracting (DPAs, data-handling terms, cross-border transfer obligations)
• Comfortable in a fast-moving lean team where you own outcomes
• JD and active bar admission in good standing in at least one US jurisdiction
