About the role

Role Overview

Volta is seeking a Legal Counsel to support the Executive team and the Legal/Compliance function. You will draft, review, and negotiate agreements that enable Volta’s fundraising, strategic direction, and day-to-day operations, while working closely with commercial teams.

Responsibilities

Draft, review, and negotiate commercial contracts, including:
- Vendor and procurement agreements
- Customer and partnership agreements
- Financing-related contracting considerations (e.g., “bankability”)
Advise internal stakeholders on contractual risk, obligations, and negotiation strategy
Support procurement and delivery teams on data center project agreements (equipment, construction, services)
Assist with corporate and structuring tasks, including entity formation/structuring and governance workflows
Maintain and improve contract templates, playbooks, and approval workflows
Track contractual obligations and support compliance with commercial terms
Collaborate with General Counsel / VP Legal on regulatory, tax, and policy matters as needed
Support due diligence for partnerships, financings, and other transactions
Stay current on relevant legal and regulatory developments

Requirements

4+ years of experience as a commercial lawyer (in-house or law firm), ideally supporting infrastructure, technology, or energy clients
J.D. and active bar membership in a relevant jurisdiction (US / England)
Strong contract drafting and negotiation skills
Ability to manage high contract volume and competing priorities
Excellent judgment, attention to detail, and communication skills
Comfortable working directly with business stakeholders outside of Legal
Experience in a fast-paced, high-growth environment
