Legal Counsel (Remote) - United States

Role Overview

Valsoft is seeking a Legal Counsel (Remote) to support day-to-day operations across multiple portfolio companies and assist with M&A activities from an operational/legal perspective. The role provides strategic, practical legal guidance in a fast-paced entrepreneurial environment.

Responsibilities

• Commercial & Operations Support
  • Draft, review, and negotiate commercial agreements (software licensing, SaaS agreements, vendor contracts)
  • Support customer agreements and partnership arrangements
  • Advise on corporate governance and compliance matters
  • Support employment law matters and HR initiatives
  • Assist with intellectual property issues, including software licensing and IP management/protection
• General Corporate Support
  • Maintain corporate records and ensure corporate formalities are followed
  • Provide guidance on regulatory compliance matters
  • Collaborate with business teams to identify and mitigate legal risk

Requirements (Minimum)

• J.D. from an accredited law school
• Active admission to practice law in good standing in the United States
• 5+ years of legal practice experience (law firm or in-house)
• Strong drafting and negotiation skills for complex commercial agreements
• Excellent analytical and problem-solving abilities; sound legal judgment
• Business-minded with the ability to deliver commercially oriented advice
• Ability to manage multiple priorities and stakeholders in a fast-paced environment
• Strong communication skills; can explain complex legal concepts for business audiences
• Ability to navigate multi-jurisdictional legal issues and coordinate with international stakeholders

Nice-to-Haves / Technical Focus Areas

• Experience with technology/software and AI licensing agreements
• Familiarity with SaaS business models
• Knowledge of global corporate governance and related compliance work
