About the role
Legal Counsel (U.S.)
Serves as Manufacturo’s primary in-house legal resource for U.S. operations, owning commercial contracting and data privacy end to end while shaping the legal and compliance function.
Role Overview
- Primary U.S. legal counsel reporting to the General Counsel and CEO, working directly with the executive team.
- Partners with Sales, Product, Compliance, and Security to support the full spectrum of legal needs: commercial contracts, corporate matters, data privacy, and regulatory support.
- Comfortable in a complex regulatory environment with interest in building legal/compliance infrastructure.
Responsibilities
Commercial & Contracts
- Draft, review, and negotiate Terms of Use, Order Forms, DPAs, and NDAs for enterprise clients in defense, space, energy, and aviation.
- Advise on contract provisions including:
- data sovereignty
- security certifications
- indemnification
- liability
- Support enterprise sales by reviewing RFPs and negotiating large-client terms.
- Manage vendor/partner agreements and ensure regulatory flow-down compliance.
Regulatory & Compliance
- Provide legal guidance to Compliance and Security on applicable regulatory obligations.
- Advise on legal aspects of customer onboarding, platform access controls, and contractual representations.
- Review compliance policies and procedures to ensure legal sufficiency for customer-facing statements.
- Instruct and manage outside counsel for specialized regulatory questions and formal filings.
Data Privacy & Cybersecurity
- Support and maintain the U.S. data privacy compliance program, including CCPA/CPRA and cross-border data transfer coordination.
- Draft and maintain standard DPA templates for enterprise customers.
- Advise on data residency and data sovereignty requirements.
Corporate & Employment
- Support corporate governance.
- Advise on U.S. employment law across states where employees are located (including remote workforce considerations).
- Coordinate with the General Counsel on cross-border matters.
Requirements
- Active membership in the California State Bar is preferred (other U.S. state admissions considered for remote arrangements).
- 5+ years of experience in corporate/commercial law (law firm to in-house transition acceptable).
