Legal Counsel

Role Overview

Legal Counsel at Harrison.ai, joining a growing global legal team. This is a US-qualified commercial and compliance-focused role with significant overlap with Australia (Sydney), in a remote setup.

You will partner with commercial, sales, regulatory, privacy, and product teams to enable growth while ensuring compliance with laws and standards governing teleradiology services, medical-device software (SaMD), and healthcare data.

Responsibilities

Commercial Contracting

• Draft, review, and negotiate commercial agreements including:
  • NDAs, MOUs
  • Enterprise SaaS agreements
  • Distribution/partnership agreements
  • EULAs, BAAs
  • Customer & sales agreements
  • Government tender documentation
• Support customer- and vendor-side negotiations to ensure contractual terms reflect regulatory requirements.
• Provide practical, business-oriented legal and compliance advice to internal stakeholders (especially commercial and sales teams).
• Develop, improve, and scale contract management systems, processes, and approval workflows (including Lawvu) and manage contract templates.

Global Legal & Governance

• Provide legal and compliance support across multiple jurisdictions, including US & Canada.
• Advise on corporate governance and compliance; support the General Counsel and Company Secretary on governance for USA entities.
• Work flexibly across time zones to support a global, regulated organization.

Regulatory & Compliance

• Serve as a day-to-day compliance partner: identify, assess, and mitigate legal and regulatory risk.
• Advise on US healthcare and medical-device regulatory frameworks relevant to healthcare SaaS / SaMD and teleradiology, including:
  • HIPAA, FDA, FTC
  • Stark Law and Anti-Kickback Statute
  • Fraud-and-abuse rules and corporate practice of medicine
• Monitor regulatory developments impacting the business.
• Develop and maintain compliance policies, procedures, controls, and training; embed compliance-by-design into product and operational workflows.
• Support compliance monitoring, audits, due diligence, risk assessments, and manage regulatory queries, investigations, and remediation.

Data Privacy & Security

• Partner with privacy and security specialists on lawful handling of health and personal data.
• Advise against requirements including HIPAA, GDPR, and CCPA.
• Draft and negotiate BAAs and related privacy/security documentation.
• ISO and SOC 2 experience is advantageous.
