About the role

Role Overview

Statusphere is seeking its first In-House Commercial Counsel to serve as the company’s day-to-day legal resource and to lead commercial contracting. The role focuses on practical, client-side transactional negotiations—moving agreements from initial review through signature after business terms are established.

Key Responsibilities

  • Own commercial contracting: draft, review, redline, negotiate, and close client/agency/customized agreements (including MSAs, SOWs, and SaaS/digital-credit-focused order forms).
  • Lead client-side negotiations with speed: respond quickly once commercial terms are set; negotiate directly with client legal, procurement, privacy, and security stakeholders; keep deals moving to execution.
  • Manage vendor and consulting agreements: review and negotiate inbound SaaS, technology, data, professional-services, contractor, and consulting agreements, balancing speed, cost, and risk.
  • Commercially calibrated risk judgment: advise on and negotiate liability caps, indemnities, warranties, IP and content rights, confidentiality, data use, security/privacy, insurance, payment, termination, and dispute provisions.
  • Own routine corporate/legal website content: Terms & Conditions, Privacy Policy, cookie/consent language, and other customer/user-facing legal notices.
  • Own Creator–Statusphere and Brand–Creator Agreements: manage signed campaign agreements and ensure auditable monitoring.
  • Provide operational legal guidance: answer day-to-day questions on payments, contracting authority, creator relationships, and content/usage rights/compliance.

Collaboration & Escalation

  • Report to the COO/CFO and work closely with Sales, Finance, Operations, Product, Security, and Customer Success.
  • Escalate specialized, novel, or high-risk matters to outside counsel when appropriate.

Requirements / Profile

  • Transactional attorney who is commercially minded, can learn the business quickly, and understands revenue, customer, product, and operational drivers.
  • Ability to distinguish acceptable commercial risk from material legal exposure.
  • Proven ability to provide clear recommendations to C-level leaders (not just identify issues or restate contract language).
  • Ability to manage a meaningful monthly volume of inbound and outbound agreements across enterprise SaaS, digital-credit, agency/customized agreements, and standard transactional documents.

Nice-to-Haves (implied)

  • Experience negotiating enterprise SaaS and technology/data agreements, including privacy/security and IP/content rights.
  • Experience with creator/campaign agreement structures and auditable rights management terms.
