EVP Chief Legal Officer

Role Overview

EVP Chief Legal Officer (executive legal leadership) at a rapidly growing technology company in a highly regulated industry. You will own and shape the company’s legal strategy, serve as a trusted advisor to executives and the Board, and enable scalable growth through robust legal operations.

Responsibilities

• Lead end-to-end legal strategy and executive-level counsel across commercial, corporate, operational, governance, compliance, litigation, and risk management.
• Own the full contract lifecycle including:
  • customer agreements (incl. renewals)
  • SaaS agreements
  • licensing agreements
  • data processing agreements
  • vendor contracts
• Partner with Sales, Product, and Customer Success and executive teams to structure agreements that support growth while managing legal risk.
• Build scalable contracting infrastructure:
  • contracting frameworks and templates
  • approval processes
  • legal operating models
• Advise executives and Board members on governance, fiduciary duties, regulatory considerations, and material legal risks.
• Provide legal updates, risk assessments, and strategic materials for Board and leadership discussions.
• Manage relationships with outside counsel (selection, budgeting, scope oversight, and coordination).
• Oversee litigation strategy, employment-related matters, investigations, and dispute resolution.
• Guide corporate governance, entity management, IP strategy, and enterprise risk programs.
• Build, mentor, and lead a high-performing legal team; cultivate a proactive, business-enabling legal culture.

Requirements

• J.D. and active bar membership in good standing.
• 12+ years legal experience, including significant in-house leadership experience.
• Prior Chief Legal Officer or General Counsel experience strongly preferred.
• Proven ability to negotiate complex commercial and technology agreements at scale.
• Demonstrated capability advising and presenting to Boards, executives, and investors.
• Experience with private equity-backed or investor-governed organizations.
• Strong background overseeing litigation, labor & employment, and regulatory considerations.
• Executive presence, strong judgment, communication skills, and relationship-building abilities.
