About the role
Role Overview
Wellspring Worldwide is seeking a Corporate Counsel (5–7 years of corporate experience) to serve as the company’s senior-most authority for legal, compliance, and privacy across its global operations. The role partners closely with the CTO/CISO and serves as a trusted strategic advisor to executive leadership, with direct ownership across legal strategy, compliance, governance, privacy, and related dispute matters.
Responsibilities
Legal Compliance & Risk Management
- Ensure operations comply with applicable international, national, and local laws across jurisdictions.
- Identify, analyze, and manage legal risks in multiple jurisdictions.
- Establish and maintain policies and procedures to mitigate legal risk.
- Use AI-powered compliance monitoring tools to track regulatory changes in real time.
Contracts, M&A, Litigation, and IP
- Draft, review, and negotiate commercial agreements, employment contracts, vendor agreements, and partnerships.
- Manage cross-border transactions and contracts with international regulatory compliance.
- Maintain AI-assisted contract templates and playbooks to standardize negotiation.
- Oversee litigation, arbitration, and disputes, coordinating with external counsel as needed.
- Advise on IP, corporate governance, and support international expansion.
Corporate Governance
- Advise on corporate governance best practices and board governance framework compliance.
- Partner with Finance and the registered agent to ensure Secretary of State registrations and annual report filings.
- Support board meetings, resolutions, and related legal documentation.
Regulatory Affairs & Internal Controls
- Monitor changes in international laws and regulations and ensure timely compliance.
- Design, implement, and maintain the internal controls framework.
- Develop security-related policies and compliance frameworks in partnership with IT/CISO.
- Manage relationships with regulators and respond to regulatory inquiries/investigations.
- Lead compliance risk assessments and report to executive team and board.
- Use AI-assisted regulatory intelligence to assess impacts of regulatory changes.
Data Privacy / Personal Data Governance (DPO Responsibilities)
- Own and maintain the personal data governance framework.
- Ensure compliance with GDPR and applicable global privacy laws including CCPA and UK GDPR.
Litigation & Dispute Resolution Support
- Represent the company in negotiations and dispute resolution.
- Use AI-powered e-discovery and document review tools to reduce cost and time.
