About the role

Role Overview

Wellspring Worldwide is seeking a Corporate Counsel with 5–7 years of corporate experience to serve as the company’s senior-most authority for legal, compliance, and privacy across its global operations. The role partners closely with the CTO/CISO and acts as a trusted strategic advisor to executive leadership.

Key Responsibilities

Legal Compliance & Risk Management

  • Ensure operations comply with applicable international, national, and local laws.
  • Identify, analyze, and manage legal risks across multiple jurisdictions.
  • Create and maintain policies and procedures to mitigate legal risk.
  • Use AI-powered compliance monitoring tools to track regulatory changes in real time.

Contract Review and Management

  • Draft, review, and negotiate commercial agreements, employment contracts, vendor agreements, and partnerships.
  • Manage cross-border transactions and contracts while ensuring international compliance.
  • Maintain AI-assisted contract templates and playbooks to standardize negotiations.

Corporate Governance

  • Advise on corporate governance best practices and ensure board governance compliance.
  • Coordinate with Finance and the registered agent for Secretary of State registrations and annual report filings.
  • Support board meetings, resolutions, and related legal documentation.

Regulatory Affairs

  • Monitor changes in international laws and ensure timely compliance across operating jurisdictions.
  • Design, implement, and maintain internal controls frameworks.
  • Develop and maintain security-related policies and compliance frameworks in partnership with IT/CISO.
  • Manage relationships with regulators and respond to regulatory inquiries/investigations.
  • Lead compliance risk assessments and report to executives and the board.
  • Use AI-assisted regulatory intelligence to assess impacts of regulatory changes.

Data Privacy (DPO)

  • Own and maintain the personal data governance framework.
  • Ensure compliance with GDPR and global data protection laws (e.g., CCPA, UK GDPR, and other jurisdiction-specific regimes).

Litigation & Dispute Resolution

  • Oversee litigation/arbitration/disputes and coordinate with external counsel.
  • Represent the company in negotiations and dispute resolution.
  • Use AI-powered e-discovery and document review tools to reduce cost and timeline.

Requirements

  • 5–7 years of corporate experience.

Nice-to-Haves

  • Experience using AI-powered legal/compliance tools (compliance monitoring, regulatory intelligence, e-discovery/document review).
