About the role
Role Overview
Redis is hiring a full-time Corporate Counsel for its growing Legal team. The role is a corporate generalist supporting governance, transactions, compliance, and disputes in a fast-paced, global environment.
Responsibilities
- Support corporate governance activities: resolutions, consents, minutes, and maintenance of corporate records across global subsidiaries.
- Manage entity formation, qualification, and ongoing maintenance for domestic and international entities.
- Assist with securities law compliance and investor communications, including prep for potential future public company obligations.
- Collaborate cross-functionally with finance, accounting, tax, people operations, and business leadership to resolve corporate, compliance, and operational matters.
- Support M&A and strategic investments: due diligence, drafting and negotiating transaction documents (e.g., LOIs, NDAs, purchase agreements, closing documents) and post-closing integration.
- Develop and maintain corporate policies, including delegation of authority and internal governance processes.
- Draft/review corporate agreements such as intercompany agreements, joint venture documents, and strategic partnership arrangements.
- Support deal closures by advising and negotiating sales agreements, including:
- enterprise commercial licenses (SaaS and On-Prem)
- data processing agreements (GDPR/CCPA)
- professional services, channel partner, and non-disclosure agreements
- Support financing transactions, including venture debt and credit facility negotiations.
- Manage relationships with external counsel when needed.
Requirements
- JD from a recognized university and admission to a State Bar.
- 3–5 years relevant experience practicing law at a firm or in-house, focused on corporate/transactional/securities work.
- Experience aligned with M&A, corporate governance, and general corporate work.
- Familiarity with Delaware corporate law and standard private company governance practices.
- Ability to identify and mitigate risk exposures while enabling business growth.
- Strong analytical, written/verbal communication, and client interaction skills.
- Strong organizational skills; ability to manage multiple projects and meet deadlines.
- Ability to operate independently and collaborate with cross-functional teams.
- Comfort with legal tech and AI tools.
