About the role
Role Overview
Corporate Counsel is a strategic in-house legal partner responsible for protecting Modigent’s interests while enabling growth across its operating companies. Reporting to the Chief Legal and Risk Officer, you will provide practical counsel, negotiate complex construction and commercial agreements, manage disputes and claims, and support strategic initiatives.
Key Responsibilities
Construction & Commercial Contract Management
- Draft, review, redline, and negotiate prime contracts, MSAs, subcontracts, professional services agreements, vendor/supplier contracts, and purchase order terms.
- Work with AIA, ConsensusDocs, and custom forms.
- Advise on contract interpretation, risk allocation, indemnity, insurance requirements, and dispute resolution.
- Review and negotiate commercial agreements such as office leases, SaaS agreements, and temporary labor contracts.
Claims Management & Dispute Resolution
- Manage and resolve construction claims and disputes (including notices to cure/delay, non-payment issues like lien and bond claims).
- Collaborate with operations, insurance carriers, sureties, and outside counsel to resolve disputes.
Strategic Business Partnership
- Provide practical legal guidance to executive and operational teams on commercial and operational matters.
- Support acquisitions, operating company integrations, joint ventures, and teaming agreements.
- Assist with corporate governance (e.g., licensing and Secretary of State filings) as needed.
Legal Operations & Capability Building
- Develop and maintain standard contract templates and negotiation playbooks.
- Deliver training and knowledge sharing to improve contract understanding and legal risk/commercial best practices.
Requirements
- Juris Doctor (JD) from an accredited law school.
- Must be licensed and in good standing in Florida, Texas, Arizona, or Georgia.
- 5–10 years of relevant legal experience.
- Active bar membership required.
- Remote role, but candidate must be based in FL, TX, AZ, or GA.
Nice to Have
- Prior in-house experience at a construction company, ideally a general contractor with multiple subsidiaries across states or a large MEP organization.
