Corporate Counsel

Role Overview

Join Human Interest as a Corporate Counsel and become the second corporate attorney on the Legal team, reporting to the Assistant General Counsel. This is a new position on a growing team where you’ll shape how corporate and transactional work is handled.

Key Missions

• Corporate governance: Support governance for Human Interest Inc. and Human Interest Advisors, including board and stockholder actions, subsidiary maintenance, and entity records.
• Cap table & equity matters: Own legal work related to the cap table and equity, including option grants, 409A coordination, executive compensation, and equity refresh cycles.
• Commercial contracting: Lead negotiation and execution of commercial agreements such as NDAs, vendor agreements, data processing agreements (DPAs), and other required contracts.
• Incident management & regulatory matters: Handle related regulatory and incident-management legal work as needed.

Requirements

• 4+ years of corporate and securities experience at a top-tier law firm, with at least one in-house role preferred (ideally at a private, high-growth company).
• Practical, business-minded approach: risk-aware (not risk-averse) and clear communication with both legal and non-legal stakeholders.
• Strong understanding of cap table mechanics, equity administration, and corporate governance for multi-entity structures.
• Experience drafting/negotiating commercial contracts including NDAs, vendor agreements, and DPAs.
• Public company reporting and securities compliance experience is a plus.
• Experience across corporate transactions such as equity, secondary transactions, debt, and other financing arrangements.
• J.D. from an ABA-accredited law school and active U.S. state bar membership in good standing.

Nice to Have

• Experience integrating AI tools into legal work.
• Experience in regulated industries (fintech/financial services/healthcare or similar).
• Familiarity with how AI should shape contracting, transaction management, and legal operations.
