As a Corporate Counsel, you will provide actionable legal advice on corporate transactions and securities laws, support strategic transactions, assist with SEC filings, and advise on corporate governance matters. You will work collaboratively with cross-functional teams and outside counsel, and stay up-to-date on governance trends and emerging legal issues. Key missions: Provide actionable legal advice on corporate transactions and compliance with corporate and securities laws.. Support the Company’s strategic transactions, including M&A, investments, capital markets, and financing transactions.. Assist with the Company’s SEC filings, corporate governance matters, and entity management. Profile: - Ability to translate complex legal issues into clear advice for business partners - Strong project management skills - Be comfortable in and able to adapt quickly to a dynamic, fast-paced environment, and be able to handle multiple matters simultaneously and prioritize effectively - 4+ years of experience post law school graduation in corporate, securities, and/or M&A at a law firm and/or in-house - Strong record of providing creative, solution-focused advice - Experience with SEC rules, regulations, and compliance applicable to public companies, including periodic reporting requirements and Regulation FD - Ability to evaluate issues from legal and business perspectives with a practical, business-oriented approach to problem-solving - Experience in the technology or healthcare industries a plus - Ability to develop strong working relationships and to work across functions and teams - Team-oriented mindset and positive attitude - Familiarity with the FDA and other healthcare laws and regulations is a plus - Experience working directly with senior leadership - Juris Doctor from an ABA-accredited law school and current active license to practice law in at least one US jurisdiction - Excellent written, oral, and negotiation communication skills - Experience advising management and stakeholders on legal considerations and risks in connection with corporate transactions or initiatives - Experience leading and managing strategic transactions, such as capital markets, M&A, or financing transactions, and/or advising on corporate governance matters applicable to public companies - If you're excited about this role, we encourage you to apply—even if you're not sure if your background or experience is a perfect match
