About the role

Role Overview

Reporting to the Chief Legal Officer, Corporate Counsel, Commercial structures, drafts, and negotiates commercial agreements that support CoAd’s go-to-market motion. The role provides practical, business-oriented legal guidance to Sales, Marketing, and Customer Experience teams while protecting the company.

Responsibilities

  • Draft, negotiate, and review commercial contracts, with emphasis on agreements for delivery of PEO, payroll, and other HR services via CoAd’s platform.
  • Support customer contracting for Sales/Marketing/Customer Experience, including high-volume agreement management and assistance with RFP submissions.
  • Develop and maintain standard form agreements, templates, and negotiation playbooks aligned with internal policy and applicable law.
  • Provide actionable legal advice and recommendations to management on commercial and contractual matters.
  • Train internal teams on contracting fundamentals and other relevant legal topics.
  • Help develop corporate policies, systems, and procedures that streamline and support contracting.
  • Collaborate with and manage outside counsel as needed.

Requirements

  • Juris Doctor (JD) and an active license to practice law in good standing.
  • 5+ years drafting and negotiating commercial and technology-related agreements.
  • 3+ years in-house experience.
  • Experience supporting enterprise sales/marketing/customer experience, managing high-volume customer contracts, and supporting RFP submissions.
  • Strong transactional skills: ability to independently draft, negotiate, and manage a wide range of agreements.
  • Business-oriented problem solving with clear, concise, and creative legal advice that meets time-sensitive timelines.
  • Ability to operate autonomously while collaborating with Legal, Compliance, and business partners.
  • High integrity and ethics; strong attention to detail.
  • Familiarity with AI-enabled service/digital self-service/intelligent routing/knowledge tools/automation.

Preferred Experience

  • Experience with PEO/EOR/ASO, payroll providers, HCM platforms, HR outsourcing, or benefits administration.
  • Experience with health insurance/benefits and ERISA-related agreements.
  • Experience integrating teams/processes/systems after M&A or major organizational transformation.
  • Growth-stage, PE-backed, or operationally complex organizations.
