Role Overview

Associate Legal Counsel (M&A)

Join a growing data center company to lead major corporate transactions, working closely with venture capital leads and partnering with an in-house corporate debt team.

Responsibilities

• Lead and support M&A and other major transactions (including billion-dollar M&A and JV deals).
• Review and structure transactions, make judgment calls, and ensure deal accuracy.
• Draft and negotiate transaction documents such as:
  • Purchase agreements
  • Merger agreements
  • Related transaction documents
• Manage and supervise outside counsel on complex matters.
• Coordinate with internal stakeholders, including the corporate debt team.
• Work effectively with venture capital partners/leads.

Requirements

• JD and member in good standing of at least one US bar.
• 8+ years of M&A and JV experience.
• Experience drafting and negotiating purchase and merger agreements and related transaction documents on complex deals.
• Ability to work independently and collaboratively in a fast-paced, collegial environment.
• Interest in learning complex technology and data center subject matter.

Nice to Have

• Experience in data centers and/or energy and/or telecom.
• Experience supervising outside counsel and/or working with VC firms.

Work Setup & Compensation

• Remote with monthly visits to meet the team and business processes.
• Base salary: $200,000 to $500,000 (possibly more) plus generous bonuses.
