Role Overview

Webflow is hiring an Associate General Counsel, Corporate to spearhead the corporate legal function. The role emphasizes corporate governance, public company readiness, and strategic transactions, supporting Webflow’s high-rate growth and legal maturation with a business-minded approach.

Location / Work Model

• Remote-first (United States)
• Full-time, Permanent

Compensation

• Base pay ranges (USD) by geographic zone:
  • Zone A: $240,000–$300,000
  • Zone B: $225,000–$282,000
  • Zone C: $211,000–$264,000
• Eligible for a company-wide bonus program (percentage of base salary; varies by career level)

Key Responsibilities

• Board Administration: Manage board/committee meeting materials, corporate records, and minutes; advise on governance practices.
• Entity Management: Oversee corporate structure and subsidiary governance; ensure regulatory compliance across jurisdictions.
• M&A Support: Lead legal due diligence, negotiate transaction documents, and manage post-acquisition legal integration.
• Corporate Transactions: Negotiate and draft complex commercial agreements, financing documents, and other strategic transactions.
• Public Company Readiness: Coordinate due diligence and work with external counsel for public-company readiness.
• Employment and Litigation: Lead internal employment function and handle litigation as needed.
• Securities & SOX Compliance: Develop securities compliance program and insider trading policies; implement SOX framework (when applicable), including controls, disclosure procedures, and certifications.
• Leadership: Build and lead the corporate legal team; manage outside counsel and create scalable legal processes/operations.

Requirements

• JD degree with at least one active bar membership.
• 10+ years relevant experience; experience at a nationally-recognized law firm (required); ideally a mix of late-stage private and public company experience.
• Experience with securities laws, corporate governance, M&A, SEC reporting, and SOX.
• Experience driving public company readiness / managing public company compliance.
