About the role

Role Overview

Associate Counsel, Corporate (United States) supporting corporate, commercial, privacy, and technology matters in a fast-growing technology/fintech/SaaS environment. You will partner with cross-functional teams and translate complex legal requirements into practical, actionable solutions.

Responsibilities

  • Provide comprehensive legal support across corporate operations, technology initiatives, and commercial activities.
  • Draft, review, negotiate, and maintain commercial agreements, including:
    • SaaS agreements
    • Software licensing agreements
    • Vendor contracts
    • Data processing agreements
  • Create and maintain user-facing legal documentation such as:
    • Terms of Service
    • Privacy policies
    • Acceptable Use Policies
    • Trader agreements and related disclosures
  • Support corporate governance, including entity maintenance and organization of company records.
  • Advise product, engineering, cybersecurity, privacy, procurement, compliance, and leadership teams on legal considerations.
  • Provide guidance on data privacy and cybersecurity, including:
    • Incident response preparation
    • Data access request handling
  • Support litigation matters, subpoenas, and engagement of external legal resources when specialized expertise is needed.
  • Serve as a legal resource for customer-facing teams by interpreting agreements and policies.
  • Conduct legal research and provide recommendations on regulatory developments, legal risks, and contractual issues.
  • Create and deliver internal training sessions and presentations on legal/compliance topics.
  • Manage multiple priorities independently while maintaining accuracy and responsiveness.

Requirements

  • JD from an accredited law school and active license to practice law in at least one U.S. jurisdiction.
  • 4–6 years of legal experience (in-house or at a mid-to-large law firm) with corporate, commercial, and technology transactions.
  • Strong experience drafting and negotiating SaaS agreements, licensing agreements, vendor contracts, and other technology-related commercial agreements.
  • Experience with corporate governance (entity management and corporate documentation).
  • Knowledge of privacy and cybersecurity matters, including familiarity with GDPR, CCPA, GLBA and other data privacy requirements.
  • Business-minded, solution-oriented judgment and strong communication skills.

Preferred Qualifications

  • Experience advising fintech, SaaS, technology, trading, or other similarly regulated organizations.
