Associate Corporate Counsel (Remote)

Role overview

Associate Corporate Counsel (Remote) joining ezCater’s in-house legal team. You will support a rapidly growing commercial business by drafting, negotiating, and reviewing vendor and inbound commercial contracts, while helping streamline and scale contracting processes.

Responsibilities

• Draft, negotiate, review, and interpret a wide variety of commercial agreements (with primary responsibility for vendor and inbound contracts)
• Build and improve contract templates, playbooks, talk tracks, and legal processes to help the business scale
• Develop, deliver, and refresh trainings on legal issues, contract best practices, and key negotiating points
• Provide practical legal analysis, strategy, and guidance to cross-functional internal teams, balancing business objectives and legal risk
• Manage assigned legal projects through completion
• Support additional legal matters such as legal research, strategic transactions, and legal escalations

Requirements

• 3–5+ years of legal experience (law firm or in-house), with experience in commercial contracts
• Member of at least one state bar
• Strong drafting skills (from scratch and using forms) and solid contract formulation knowledge (e.g., confidentiality, indemnity, termination, representations, and other core provisions)
• Excellent negotiating ability with third parties in both cooperative and adversarial scenarios
• Ability to communicate legal implications clearly to business stakeholders
• Independent judgment: balance risk vs. business goals and know when to escalate
• Strong written and verbal communication; clear, concise drafting
• Ability to multitask in a fast-paced environment; proactive, team-oriented problem solver

Compensation

• National total target cash compensation range: $147,157–$210,477 annually (base salary + bonus target)
